1. About these terms

This website is operated by Guangzhou Flows Jewelry Co., Ltd, Y66, 5th Floor, Jinxing Building, No. 1 Hanjing Road, Tianhe District, Guangzhou City, China (“we”, “us”). By using this website you agree to these terms. If you do not agree, please do not use the site.

2. What this website is

This website is a product showcase for wholesale, OEM and ODM buyers. No goods are sold and no payment is taken through this website. Nothing on this site is a binding offer:

  • Prices shown are indicative, in US dollars, and exclude freight, insurance, duties, taxes and any other charges.
  • Product images, weights, dimensions and descriptions are given in good faith for general guidance and may vary between production batches.
  • An order only becomes binding when we confirm it in writing.

3. Quotations and orders

  • A quotation is valid for the period stated in it or, where no period is stated, for 30 days.
  • The specification, material, finish, stone and quantity of the goods are as set out in our written order confirmation and, where applicable, in the approved sample.
  • Where the buyer supplies designs, logos or artwork, the buyer confirms it has the right to use them and that they do not infringe any third party’s rights.

4. Payment

Unless otherwise agreed in writing, orders are settled by bank transfer (T/T) on the terms stated in the order confirmation. All bank charges are payable by the party instructed by their own bank, unless the order confirmation says otherwise.

5. Delivery, risk and title

Delivery, risk and shipping charges are governed by our Shipping & Returns page and by the order confirmation. Where the two differ, the order confirmation prevails.

6. Intellectual property

All content on this website — text, photographs, designs, logos and layout — is owned by us or our licensors, and may not be copied, reproduced or used commercially without our written permission.

Designs, drawings or artwork supplied by a customer remain the customer’s property. We do not use customer designs, tooling or artwork for any third party.

7. Limitation of liability

To the fullest extent permitted by law:

  • Our total liability in connection with any order is limited to the value of the goods concerned.
  • We are not liable for indirect or consequential losses, including loss of profit, loss of business or loss of goodwill.
  • We are not liable for delays or failures caused by events outside our reasonable control (see clause 8).

Nothing in these terms excludes liability that cannot lawfully be excluded.

8. Force majeure

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural events, epidemics, war, strikes, transport interruption, customs action, or failure of suppliers or utilities. If such an event continues for a prolonged period, either party may cancel the affected order and we will refund any payment received for goods not yet produced, less any costs already reasonably incurred.

9. Governing law and jurisdiction

These terms and any dispute arising out of them are governed by the laws of the People’s Republic of China. The parties submit to the exclusive jurisdiction of the competent court in Guangzhou, China, unless a different forum is agreed in writing.

10. Changes

We may update these terms from time to time. The version published on this page at the time you use the site applies.
